About the role
We are seeking a business-focused Corporate Counsel to support our commercial legal operations. This role will primarily focus on negotiating and structuring commercial transactions, including customer agreements, SaaS contracts, vendor agreements, and strategic partnerships. The Corporate Counsel will report to the Deputy General Counsel and work closely with business teams across the company, including Sales, Customer Success, Channel. Finance, Product, and Procurement. While the primary focus will be commercial transactions, this role may also contribute to other legal areas, such as privacy compliance and intellectual property, as needed.

What you will do:
- Review, draft and negotiate a wide range of customer, partnership, vendor, supplier, consultant, and technology agreements, including SaaS, software licensing, and professional services agreements, Vendor, supplier, and procurement contracts, reseller, partnership, and technology agreements
- Negotiate vendor, supplier, and procurement contracts, including software licenses, cloud infrastructure agreements, and consultant engagements
- Structure and negotiate reseller, channel partner, and platform partnership, and technology agreements, including marketplace distribution terms with ecosystem partners such as Atlassian, Microsoft, monday.com, and Salesforce
- Develop and deliver legal training and enablement resources for internal stakeholders
- Collaborate with international teams to provide legal support across global operations, including advising on cross-border transactions, multi-jurisdictional compliance considerations, and regional commercial practices
- Support Sales and Procurement teams by providing legal guidance on contract terms, risk assessment, and risk mitigation strategies balancing business priorities and legal considerations.
- Ensure compliance with privacy and data protection laws (e.g., GDPR, CCPA/CPRA) in commercial contracts.
- Assist with contract lifecycle management, including developing playbooks and templates to streamline processes.
- Collaborate with internal teams to resolve contract-related issues and support deal execution.
- Handle pre-litigation resolution of disputes involving customers, vendors, and suppliers.
- Support special projects and initiatives, such as M&A due diligence, post-acquisition legal integration, and new product development.
What you will need:
- J.D from an ABA-accredited law school and active bar membership in good standing in at least one U.S jurisdiction
- 3+ years of relevant legal experience in the technology space, ideally having worked both for a top-tier law firm and in-house
- Significant experience reviewing, drafting, and negotiating complex commercial contracts and software licensing agreements, including Software as a Service (SaaS) agreements, Data Processing Agreements, Professional Services Agreements, and similar.
- A successful track record of closing challenging deals. Experience with negotiating with major technology players such as Atlassian, Salesforce, Microsoft, Oracle, Google, Apple, ServiceNow is a plus.
- Experience with RFP review and responses with enterprise customers
- Committed to providing excellent customer service to internal business clients and our Legal team colleagues
- Excellent written and verbal communication skills, including the ability to distill complex legal issues into an understandable narrative for diverse audiences
- Strong organizational skills with the ability to prioritize multiple tasks and work independently.
- General knowledge of licensing, SaaS commercial terms, anti-competition, marketing, privacy, and data protection laws
- Demonstrated ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize workflow, and operate with minimal supervision.
- Creative thinker with strong problem-solving skills and the ability to stay calm under challenging circumstances
- Strong collaboration skills with the desire and ability to work as part of a team and engage with diverse groups and cultures.
- Demonstrate a high level of professionalism and exercise outstanding business judgment with minimal supervision.
- Willingness to collaborate, learn, share knowledge, respond quickly to urgent matters, and execute proactively
- Comfort with ambiguity and ability to provide practical guidance in evolving regulatory landscapes (e.g., AI governance, emerging privacy laws)
