As our next Commercial Counsel, you won’t just be reviewing contracts—you’ll be a key architect of the legal framework that powers ActiveCampaign’s global growth. Reporting directly to the General Counsel, you will serve as a strategic partner to the business, navigating complex transactions and safeguarding our interests across a diverse landscape of customers, vendors, and strategic partners.
This isn't a role for a legal spectator; it’s for a proactive builder. You will lead the charge in refining our contractual workflows, leveraging legal operations to transform "redlines" into streamlined, automated processes that enable the company to move at the speed of SaaS. On a typical day, you might:
- Assist the General Counsel, the legal department, and senior management with a variety of legal issues related to the ActiveCampaign family of businesses.
- Draft, negotiate, and review various contracts, including customer and vendor contracts, strategic partnership agreements, NDAs, master services agreements, and license agreements, among others.
- Serve as legal advisor to various internal departments and committees as requested.
- Assist with the maintenance and oversight of relationships with external counsel as required.
- Work closely with revenue operations and legal operations teams to improve and refine contractual workflows for optimal efficiency, automating processes where applicable to streamline and improve existing contract workflows.
- Partner with company leaders to identify practical and legal risk.
The ideal candidate will bring:
- 4-year college degree and a Juris Doctorate degree.
- Active membership in good standing with a State Bar.
- 3+ years of experience as an attorney, focusing on transactional, commercial, or corporate law with strong transactional experience (preferably with a SaaS or technology company).
- Proven experience negotiating contracts across various risk and value levels.
- Experience designing and maintaining legal resources, such as iterating upon contractual playbooks.
- Prior experience with tech industry clients and familiarity with global data privacy and data protection laws (e.g., GDPR, CCPA).
- Familiarity with contract management software (CMS), with specific experience in Ironclad and/or Zip (preferred but not strictly required).
- Experience advising clients with global operations, understanding the nuances of international business.
- Excellent research and project management skills, with the ability to navigate complex legal landscapes.
- High levels of organization and self-motivation, with the capability to track and complete multiple tasks in a timely manner.
